Document Of Non-disclosure.

This Agreement, entered into as of this ______ day of _______in the year, 2O22 between Maurice Marbury “Collective Minds, LLC”. (hereinafter referred to as “The inventor”), who’s address is 10629 Everton Ave, Cleveland, Ohio, 44108 (hereinafter referred to as “The Possible, participant/Member, Investor, Buyer, Lawyer, and or Manufacturer”), who’s address is ____________________________________________________________________________________.

Whereas, the said “inventor” has developed certain information, concepts, ideas, or designs, which the “inventor” deems confidential (hereinafter referred to as “Information”, and;

Whereas, The Possible Participant/Member Investor, buyer, lawyer and or Manufacturer” is in the business of using such information for it’s projects and wishes to review the information; and Whereas, the Inventor wishes to disclose this information to “The Possible Participant/Member Investor, Buyer, Lawyer, and or manufacturer”; and

Whereas, “The Possible Investor, Buyer, lawyer, and or manufacturer” is willing Not to disclose this information, as provided in this agreement.

Now, therefore, of the foregoing premises and the mutual covenants hereinafter set forth and other valuable considerations, the parties (hereinafter referred to as both and or all people who sign this form) hereto agrees as follows: Collective Minds llc and its incubator

1. Disclosure. Inventor shall disclose to “The Possible Participant/Member, Investor, Buyer, Lawyer, and or Manufacturer the information, which concerns: the video productions concerning “Collective Minds llc Incubator”

2. Purpose. “The possible Participant/Member, Investor, buyer, Lawyer, and or Manufacturer” agrees that this disclosure is only for the purpose of “The possible Investor, Buyer, Lawyer, and or manufacturer(s) evaluation to determine its interest in the commercial exploitation of the said invention mentioned in this agreement.

3. Limitation on use. “The Possible Participant/Member Investor, Buyer, Lawyer, and or Manufacturer agrees Not to Manufacture, sell, deal in or otherwise use nor appropriate the disclosed information any way whatsoever, including, but not limited to adaptation, imitation, redesign, or modification. Nothing contained in this agreement shall be deemed to give “The Possible Investor, Buyer, Lawyer, and or Manufacturer” any rights whatsoever in and to the information and or the Invention in its entirety.

4. Confidentiality. “The Possible, Participant/Member, Investor, Buyer, Lawyer, and or Manufacturer” understands and agrees that the unauthorized disclosure of this information by “The possible Investor, Buyer, Lawyer, and or Manufacturer” to others would irreparably damage “The Inventor”. As consideration and in return for the disclosure of this information, “The Possible Participant/Member, Investor, Buyer, Lawyer, and or Manufacturer” shall keep secret and hold in confidence all such information and treat the information as if it were “The possible Investor, Buyer, lawyer, and or Manufacturer(s) own propriety property by not disclosing it to any person nor entity

5. Good Faith Negotiation. If, on the bases of the evaluation of the information, “The Possible Participant/Member Investor, Buyer, Lawyer, and or Manufacturer” wishes to pursue the exploitation thereof “The Possible Investor, Buyer, Lawyer, and or Manufacturer” agrees to enter into good faith negotiations to arrive at a mutually satisfactory agreement for these purposes. Until and unless such agreement in entered into, this nondisclosure agreement shall remain in force.

6. Miscellany. This agreement shall be binding upon and shall inure to the benefit of all parties and their respective legal representatives, successors, and assigns.

7.Breach. If, any person who signed this contract contradicts any of the aforementioned agreement, it will be deemed a violation of this agreement and handled by a court of Law.
